Terms of Service

1. General Provisions

These Terms of Service (hereinafter "Terms") govern the rights and obligations between the operator of the TODOčko service and its users.

The service is operated by Ing. Michal Bernát, Company ID: 88341178, registered at Habrová 1542/11, 693 01 Hustopeče (hereinafter "Operator").

TODOčko (hereinafter "Service") is a web application for task and project management built on a local-first architecture with end-to-end encryption.

2. Service Description

The Service provides a kanban tool for organizing tasks and projects.

Key features of the Service

  • Local-first: Data is primarily stored in the user's browser
  • E2E encryption: Data is encrypted with the user's backup phrase
  • Offline functionality: The app works without an internet connection
  • Sync: Optional synchronization across devices

3. User Account and Backup Phrase

The Service does not require traditional registration. Instead, each user is automatically generated a backup phrase (24 words) that serves as the sole key to their data.

Important notice: The Operator does not have access to the backup phrase or the user's decrypted data. Loss of the backup phrase results in irreversible loss of access to the data.

The user is responsible for

  • Storing the backup phrase securely
  • Not sharing the backup phrase with unauthorized persons
  • Regularly backing up data using the export feature

4. Pricing

Available plans

  • Free: Free, with limitations (1 project, 50 tasks)
  • Pro: 99 CZK/month or 990 CZK/year
  • Enterprise: 249 CZK/month or 2,490 CZK/year

Prices are final. The Operator is not a VAT payer. The Operator reserves the right to change prices with at least 30 days prior notice. Price changes do not apply to already paid periods.

5. Payment Terms

Accepted payment methods

  • Credit/debit card (Visa, Mastercard)
  • Bank transfer / invoice
  • Bitcoin / Lightning Network

Payments are processed through secure payment gateways. The Operator does not store payment card details.

For monthly subscriptions, payment is automatically renewed at the end of each period unless the user cancels the subscription.

6. User Rights and Obligations

The user agrees to

  • Use the Service in compliance with Czech law
  • Not use the Service for illegal purposes
  • Not upload harmful content or malware
  • Not interfere with the technical operation of the Service

The user has the right to

  • Use the Service within the scope of their chosen plan
  • Export their data at any time using the backup feature
  • Delete all their data from the Service
  • Cancel their subscription at any time (valid until end of paid period)

7. Operator Rights and Obligations

The Operator agrees to

  • Ensure reasonable Service availability (target uptime 99.5%)
  • Protect the synchronization infrastructure from unauthorized access
  • Notify users of planned maintenance
  • Not read or otherwise process users' encrypted data

The Operator has the right to

  • Restrict or terminate user access for Terms violations
  • Update and improve the Service
  • Amend these Terms with prior notice

8. Limitation of Liability

The Service is provided "as is".

The Operator is not liable for

  • Data loss caused by the user losing their backup phrase
  • Damages caused by the user's internet connection outages
  • Damages caused by improper use of the Service
  • Indirect damages, lost profits, or data loss

Due to the local-first architecture, primary data is stored on the user's device. The Operator strongly recommends regular backups.

9. Intellectual Property

All rights to the Service, including source code, design, and trademarks, belong to the Operator.

The user retains all rights to content they upload to the Service. The Operator cannot access this content due to end-to-end encryption.

10. Service Termination

The user may at any time

  • Export their data
  • Delete all data from the Service
  • Cancel their paid subscription

The Operator may terminate a user's access to the Service for serious violations of these Terms. In such case, the user will be notified and will have the opportunity to export their data.

11. Changes to Terms

The Operator reserves the right to amend these Terms. Users will be notified of changes via email (if provided) or an in-app notification at least 30 days in advance.

If the user disagrees with the changes, they have the right to stop using the Service and export their data before the changes take effect.

12. Governing Law and Dispute Resolution

These Terms are governed by Czech law. Any disputes will be resolved by the competent courts of the Czech Republic.

Consumers have the right to resolve disputes out of court with the Czech Trade Inspection Authority (www.coi.cz).
